DV Howells is a leading UK pollution response business providing services primarily to the marine sector but also to the rail network, police forces, the Ministry of Defence and others. It has 27 employees based in the UK at offices in Milford Haven, Harlow, Rotherham, Huddersfield, Falmouth, Didcot and Perth. The Group will pay cash of ?400,000 on completion and a further ?150,000 over the next 18 months to the current owner, Milford Haven Port Authority. In its first year as part of the Group it is not expected to make a significant financial contribution to the Group's profits but the Board expects that its marine business will be capable of significant growth as part of the Braemar Seascope Group. Planetwide, which was established in 1977, specialises in shipping and freight handling and has more than 20 years experience in container forwarding to and from Australia and New Zealand. The company also has a strong presence in the Nigerian market. Planetwide has expertise in warehousing, European trailer transport, air-freight, container forwarding to deep sea destinations and deals with all export and import documentation on behalf of clients. John van Bergen is Director of forwarding and logistics. www.tradewinds.no 5 August 2005 TradeWinds 19 BRAEMAR SEASCOPE Inchcape Shipping Services (ISS), the world s largest single portagency group, is being touted for sale at around $140m 10 times its last reported profit levels. The group, fully backed by venture capitalists Electra Investment Trust in a ?41m ($72m) management buyout in 1999, last reported earnings before tax and interest in 2003 of $14.5m on revenues of $199m. Electra agreed to extend its backing a couple of years ago, pledging to support an expansion plan aimed at doubling Inchcape s core port-agency business by 2005. Profit-boosting consolidation, combined with a writedown of investment costs, was tied to Electra s timetable of securing a trade sale or flotation by 2006. ISS also invested heavily in setting up worldwide computer systems designed to provide more lucrative global marine service contracts, including financial management of their operations. Some ?10m ($17.5m) was invested in restructuring, but a similar amount of loan finance has been paid back to Electra. The company secured profitable military contracts and also concentrates on contracts for major oil and tanker groups as well as cruise companies but its overall performance has remained stuck at comparatively low levels of return. Major forwarding and logistics companies, which could obtain some synergies, are said to be putting the slide rule over ISS but sources say the price is high. It requires believing in the promise of future profits, said one. Kuwaiti company PWC Logistics was recently said to be in talks about acquiring ISS but has moved on to a planned $450m purchase of US global supply chain group GeoLogistics. PWC group has already acquired US forwarder Transoceanic Shipping and Singapore logistics group Trans-Link this year. Inchcape up for sale for $140m After 75 years of independent existence, Geo A Morrison & Co (Leith), was sold to Braemar s agency arm Cory Bros for a price that did not trigger the need for the listed group to announce the deal to the London Stock Exchange. The Scottish company, which trades as Morrison Shipping & Morrison Tours (Morrison), started out as a ship s agent and expanded into chartering, customs clearance and forwarding. In the past 20 years, it has also branched out into shore excursion, ground handling and agency operations for the cruise industry in Scotland. The company has port-agency representation in Leith, Rosyth, Grangemouth and Glasgow and says full agency services can be supplied to any Scottish port. It also handles ship sales and chartering, mainly linked to the local industries including bulk, offshore, project and fishing sectors. Braemar and Cory say the acquisition is part of a strategy to further consolidate broadly based shipping-services business. Geo A Morrison joins Braemar Paul Berrill London Braemar Seascope aims to follow up last week s purchase of a Scottish port-agency company with another UK acquisition, using them both as stepping stones to expand its shipping services overseas. The London-listed broker moved into the agency business in 2003 when it bought established UK group Cory Bros for $1.5m in cash. Last week, it acquired Morrison Shipping, a Leith-based forwarding and portagency firm. Braemar, which says the profitability of agency businesses can be improved via consolidation, is believed to be targeting another UK acquisition and has longer term aims for Cory to expand abroad. Quentin Soanes, Braemar s managing director of new business projects, says the group is interested in acquiring a number of small agency businesses. Cory is a good launch pad. It offered a comparably cheap entry to a professional agency group, and it is starting to develop in the way we would like, he said. We are looking to build up our shipping-services group. There will be a number of small acquisitions made as part of the consolidation process. Soanes adds that although nothing is about to happen overseas, Cory is also looking at acquisition opportunities outside the UK. Consolidation has been a mantra for improving notoriously low profit margins in the agency world but not even the biggest groups have cracked it. Inchcape, remains the largest single agency group operating on a global scale but even after five years of investment, modernisation and realignment, earnings before tax and interest in 2003 were a mere $14.5m from a turnover of $199m. Cory lost ?282,000 ($500,000) on a turnover of ?8.5m last year when it was hit by lower volumes in its agency business and set up costs in forwarding and logistics. In May, Braemar said the subsidiary was well positioned to take advantage of recovery or consolidation on the agency side but added: There are no immediate prospects of a significant turnaround in this part of the business. Soanes says the growing need for agency companies to develop expensive computer systems to manage bigger accounts is beginning to have a significant effect on the way consolidation can make a difference. It is a key benefit in reducing costs when you can bring together two companies under one system, said Soanes. Cory has an inbuilt advantage having already developed a well reputed information technology system called Shiptrak. Soanes says core results from shipbroking have growth limits and are unlikely to remain as good as they are now forever, while shipping services offer a huge related area for potential growth. But he also concedes that because it is a listed company, Braemar is under some pressure to expand beyond its core areas, and there is a danger that investing in agency firms does not bring a better return than other ways of using the money. Soanes says service activities are hoped to be counter cyclical making profits when broking is in the doldrums. But both shipping agency and freight forwarding, now more trendily referred to as logistics which Cory is also expanding into, have a past track record of low margins which can be further squeezed in hard times. Nevertheless, Soanes is upbeat. He says many agency markets can be highly lucrative, such as that in the Middle East, and a professional approach is needed. One thing is true. The cost of operating is not going down. Many small, first-generation companies are being squeezed, and some of the contracts they are taking are simply not profitable, he said. Consolidation is expected to be king but buying a big group like Inchcape is likely to be beyond Braemar s means.
