Siarkopol operates in Gdansk since 1969. In the meantime the company has been transformed from the state-owned enterprice into a join stock company, while the 100% of shares is still owned by the state. At the moment The Ministry of Treasury executes all duties and obligations of the said ownership. The company is registered at the Companies Register kept by the local District Court in Gdansk under the number RHB 7041. Siarkopol S.A. is managed by the Board of Directors: Mr.Jan Kurek - Member of the Board According to the company statutory articles, the scope of operational and commercial activity of SIARKOPOL S.A. includes: receiving, unloading, storing, processing, transportation, forwarding, handling of sulphur and other chemical products sale, purchase (also on agency basis) of the goods and services mentioned above Sulphur could be processed into its liquid or granulated (prilled) form, according to the request of the customer. Apart from the above mentioned main lines of the activity, the company offers and performs the following services: receiving, storing and handling of fuel oils, base oils, beet molasses, vegetable oils. heating of railway tankers with many different products, like for instance sodium lye, water glass, base oils, fuel oils and others. spedition, forwarding, chartering of vessels, steaming of vessels to be loaded, insurance of vessels, quality control of given products, etc. SIARKOPOL S.A. owns the complete technological and technical equipment to run succesfully its operations and business, for instance: a storage park of insulated tanks of capacity V=5.000 cubic meters, with heating coils, directly linked with a railway side track and the harbour warf a train station with full width tracks, electronics scales, loading and unloading outlets; the train station switching capacity amounts to 450 cars along, with 140 steam heating points up to the temperature of 135 degrees Celsius a sewage treatment plant a heating plant of 34 MW power, using the furnace fuel oil, producing steam of the temperature up to 190 degrees Celsius at the pressure of 1.3 Mpa, with a production rate of 54 Mg per hour; the steam is used to heat all storage tanks, pipelines and fittings the installed on site electrical power amounts to 5.5 MW hardened, open storage areas for loose products full conveyor belts system, steam heated pipelines, several pumps to load and to unload the staff from-and to the vessel chemical laboratory, fully equipped with necessary control and measureement apparatus, well prepared to make a wide range of chemical analisis railway junction to re-load base oils installations for sulphur granulation/prilling by the wet method or by the dry one. SIARKOPOL S.A. has got a direct access to the harbour situated approx. 800 meters away, making possible to recive the vessels up to 30.000 DWT, with immersion up to 10,2 meters and the height of 12,5 meters above water surface. The company could offer high loading rates, making the exploitation of vessels more effective. SIARKOPOL S.A. owns (as a so called perpetual usufructuary or life tenant) 62 hectares of the ground, part of which has not been developed yet and still can be utilised as storage and/or loading and unloading area for different products. The fact that three landing piers are so near, is of graet advantage. The company's technical infrastructure, energy potential, applied technologies, ownership of the ground, access to the harbour, all together create excellent conditions to construct new subterminals and warehouses for food stuffs, new chemical and petrochemical products. Having at our disposal the above mentioned possibilities, we are well prepared to offer to our customers comprehensive, professional services 24 hours per day, related to transshipment, storage, forwarding, handling of loose and liquid products by sea in both export and import directions. We are well placed to increase the scope of our services as far as the handling of any others products is concerned, as well as to arrange a very specialized terminal to handle with customer's specific material. MINISTER OF THE TREASURY OF THE REPUBLIC OF POLAND invites for negotiations over the purchase of shares of "SIARKOPOL" Gdansk Spolka Akcyjna located in Gdansk, 12 mjr. H. Sucharskiego Str. The Minister of the Treasury located in Warsaw 36 Krucza/6 Wspolna Str., 00-522 Warszawa, acting on behalf of the State Treasury, according to article 33, item 1 of the Law on commercialisation and privatisation of state-owned companies, dated the 30th of August 1996, (Journal of Law N0. 118, item 561with subsequent amendments) and Government Regulation dated the 29th July 1997 regarding detailed procedure of selling State owned shares, rules of shares selling financing and payment terms for these shares (Journal of Law N0. 95, item 578 with subsequent amendments) invites all interested Parties for negotiations over the purchase of no less than 12 500 registered ordinary shares for one purchaser, with a nominal value of PLN 100.00 each., at least 10% of all shares. The Minister of the Treasury informs that this invitation also covers 5 % of the Company's shares up till now reserved for the purposes relevant to the discharging of claims submitted by the former owners of the properties taken over by State Treasury. These shares will be sold to the Investor appointed during present negotiations as soon as law regulations allow doing this. Pursuant article 36 of the Law on commercialisation and privatisation of state-owned companies dated August 30th 1996 (Journal of Law No. 118, item 561 with subsequent amendments), the empowered employees are entitled to acquire free of charge 15% of shares in the Company. The Minister of the Treasury anticipates possibility of selling the Investor, selected during present negotiations, the shares which have not been acquired by entitled persons, beginning from the date the right of empowered persons to the free acquisition of shares expires. The scope of activities of "SIARKOPOL" Gdansk S.A. includes receiving, unloading, storage, purifying, processing, transportation and forwarding of sulphur and other minerals, production of chemical substances and row materials. The operating range of the Company also includes turnover and agency within scope of activities. Subject of negotiations will include in particular the share price, development programme proposed by the Potential Investor, covering commitment regarding capital increase and other commitments in terms of investments, environmental protection, protection of the interest of employees and other persons connected with the Company, as well as the method of securing the implementation of these. The deadline for submitting preliminary responses to the invitation for negotiations over the purchase of shares in "SIARKOPOL" Gdansk S.A. expires on the 24th of January 2001 (Wednesday), at 3 p.m. Warsaw time. The Minister of the Treasury reserves the right to request an additional information from the Potential Investors who will submit a response to the publicly announced invitation for negotiations. The Minister of the Treasury will notify each Potential Investor, who will submit a response to the public invitation for negotiations, by the 21st of February 2001, by a registered letter, about examination of the submitted response. The Parties admitted to negotiations will have the right to examine specified documents of "SIARKOPOL" Gdansk S.A. concerning its legal, economic and financial situation on the principles specified by Minister of the Treasury. After such examination the Parties admitted to negotiations will present binding proposals of conditions on which purchase of the offered shares will take place. These proposals will be the base for negotiations. The Minister of the Treasury reserves the right to freely select Potential Investors admitted for negotiations, to withdraw from negotiations without stating any reasons, as well as to extend the deadline for submitting the responses for publicly announced invitation for negotiations.
