Proposal of Cooperation There are three proposals of joint venture formation or cooperation: 1. 50:50 Joint Venture Formation: In this form of cooperation, both new partner and the existing shareholder get half of the interests and rights in HCSB. This form of joint venture is preferred if the new partner want to preserve the current organization structure of HCSB and want it continue to exert its local market talent advantages. The new partner can form a joint venture by investing into the holding company of HCSB, Colight International Limited (which is a Hong Kong company and only activity is holding HCSB) and acquire 50% ownership of Colight by applying new shares.
