Bulk Liquid Cargoes (crude oil, petroleum products, luboils, chemicals, LPG, liquefied chemical gases, molasses, vegoils, etc.) measurement surveys on board the vessel and/or on shore, cargo tanks cleanliness inspections, supervision of loading or discharge operations, supervision of COWing, pre/post loading or discharge inspection (OBQ/ROB), flammable gases testing in cargo tanks and enclosed spaces, sampling, chemical analysis. Bulk Dry Cargoes (fertlizers, sulphur, coal, ore, grain, etc.) draft surveys (ship or barge), holds cleanliness inspections, hatch cover watertightness testing (using ultrasonic equipment), supervision of loading or discharge operations, preloading inspections, sampling, chemical analysis. Steel, Steel Products and Scrap (packed or wrapped and unpacked or unwrapped) and SCRAP visual inspections of cargo upon delivery by rail road transport from mill, visual inspection of storage places and warehouses, inspection upon discharging from wagons - condition of the cargo (packing/ banding, marking/ tagging, surface condition, stowage, visible damages), tallying, inspection of vessel s holds cleanliness and acceptability to load intended cargo, inspection of vessel s hatchcovers including ultrasonic watertightness testing, supervision of loading. Bagged/ Packaged Goods (rice, sugar, beans, refrigerated goods, etc.) tallying, hold cleanliness inspections, hatch cover watertightness testing (using ultrasonic equipment), supervision of loading or discharge operations, preloading inspections, sampling, chemical analysis. Causalities water pollution. Baltic Marine Surveyors (BMS) was founded in 1991. Today BMS is a well-established company with its Head Office located in Gdynia and manned by professionals. BMS is active in all Polish ports, the Baltic ports of the former Soviet Union as well as in major inland locations throughout Poland. The company tradition is based on many years of experience. BMS success has been achieved through rigorous quality and safety standards, as well as strong customer relationships and a commitment to teamwork. BMS provides comprehensive cargo surveys covering transport, storage and handling of bulk liquid cargoes (crude oil, petroleum products, luboils, chemicals, LPG, liquefied chemical gases, vegoils, molasses etc.), bulk dry cargoes (fertilizers, sulphur, coal, ore, grain etc.), steel, steel products (cold and hot rolled) and scrap, and bagged/ packaged cargoes (rice, sugar, cocoa beans, refrigerated goods etc.). Rola BMS ogranicza sie do przekazania tych wynikow do zleceniodawcy. Przekazane wyniki badan nie sa weryfikowane przez BMS. OGOLNE WARUNKI WSPOLPRACYPonizsze Ogolne warunki wspolpracy maja zastosowanie od 1 lipca 2003 r. do wszystkich prac i uslug wykonywanych przez BMS, wlaczajac w to wszelkie dodatkowe czynnosci zwiazane z wykonywanymi zleceniami.1. BMS wykonuje uslugi tylko dla jednego klienta, chyba ze w jego instrukcji otrzymanej na pismie wskazani sa jeszcze inni klienci. Instrukcja otrzymana od pierwszego klienta jest wiazaca dla pozostalych. 2. BMS bedzie odpowiedzialny za niezastosowanie sie do instrukcji zleceniodawcy lub jej niewypelnienie, jezeli zostanie udowodnione, ze bylo to swiadome zaniedbanie pracownikow BMS.3. BMS nie bedzie odpowiedzialny za zadne uslugi lub towary - wlaczajac uslugi laboratoryjne - wykonane lub dostarczone na zlecenie BMS przez strony trzecie w zwiazku z realizacja uslugi zleconej przez klienta. BMS nie ponosi takze odpowiedzialnosci za wyniki analiz wykonanych w obcych laboratoriach niezaleznie od tego, czy BMS nadzorowal wykonanie analiz , czy tez nie. 4. Ponadto i niezaleznie od ogolnego zastosowania wymienionych warunkow, wszelka odpowiedzialnosc ze strony BMS, jego pracownikow lub podwykonawcow nie bedzie przekraczac sumy rownej pieciokrotnej (5) wysokosci oplaty za dane uslugi.To odszkodowanie bedzie jedynym i wylacznym zadoscuczynieniem ze strony BMS, jego pracownikow lub podwykonawcow. W zadnym wypadku BMS, jego pracownicy lub podwykonawcy nie beda odpowie-dzialni za jakiekolwiek opoznienie w wykonywaniu prac i uslug powstale w wyniku awarii, niezaleznie od jej rodzaju i przyczyn. 5. BMS w zadnym wypadku nie bedzie odpowiedzialny za straty lub uszkodzenia spowodowane przez lub bedace nastepstwem bledu lub przeoczenia w raporcie lub swiadectwie wystawionym przez firme lub powstale w wyniku lub dotyczace wykonania lub niewykonania przez firme uslugi w zwiazku z tym raportem lub swiadectwem, za wyjatkiem sytuacji, w ktorej strate lub uszkodzenie mozna przypisac wylacznie niedbalstwu firmy, jej kierownictwa, pracownikow, przedstawicieli lub podwykonawcow. Zgloszenie reklamacji musi byc dokonane na pismie w ciagu 45 dni od daty wystawienia raportu lub swiadectwa. Nie spelnienie tego warunku zwalnia firme z obowiazku jej rozpatrzenia. Pisemne zgloszenia zastrzezen powinny byc kierowane na adres firmy Baltic Marine Surveyors.6. Za Klientow BMS uwaza sie osoby prawne lub fizyczne, ktorym wystawiane sa faktury za wykonane uslugi. Wszelkie raporty wydane sa w formie pisemnej i adresowane do klientow, przeznaczone do ich wylacznego uzytku i odnosza sie tylko do uslug okreslonych w zleceniu; raporty te nie moga byc przekazywane osobom trzecim bez wczesniejszej pisemnej zgody BMS. Wejscie w posiadanie raportu BMS przez osoby fizyczne i prawne inne niz klient nie upowaznia do polegania na informacjach w nim zawartych ani ich wykorzystywania. Zleceniodawca zabezpieczy BMS przed wszelkimi roszczeniami jakiejkolwiek natury przeciwko BMS, jego pracowni-kom lub podwykonawcom przez osoby trzecie w zwiazku z uslugami swiadczonymi przez BMS.7. Zadne poprawki lub zmiany do Ogolnych warunkow wspolpracy nie beda wiazace dla BMS, o ile nie sa one wyrazone na pismie i podpisane przez pracownika BMS posiadajacego odpowiednie upowaznienie. 8. Wystawiane przez BMS raporty sa przeznaczone wylacznie do uzytku klientow BMS i dostarczaja jedynie informacji wymaganych przez tych klientow. Jednakze moga one zawierac inne istotne informacje nie zwiazane z przedmiotem swiadczonej uslugi. BMS nie bedzie odpowiedzialny przed osobami trzecimi za tresc raportu lub pominiecie w nim jakichkolwiek danych.9. Oryginal raportu podpisany przez upowaznionego przedstawiciela BMS stanowi jedyny i autentyczny dokument potwierdzajacy zawarte w nim informacje dostarczone klientowi przez BMS jakakolwiek droga, wlaczajac droge elektroniczna.BMS zapewni mozliwosc dostarczenia klientowi potwierdzonego wydruku oryginalu raportu w ciagu2 lat od daty raportu. Kazdy raport, swiadectwo lub oswiadczenie przekazane klientowi w innej formie bedzie uwazane za wystawione na wyrazne zyczenie i ryzyko klienta. BMS nie bedzie ponosil zadnej odpowiedzialnosci za jakiekolwiek rozbieznosci w stosunku do oryginalu. 10. Niniejsze warunki wspolpracy sa spisane w jezyku angielskim i polskim. W przypadku watpliwosci interpretacyjnych pierwszenstwo maja zapisy w jezyku polskim. Zaleznosci miedzy BMS i klientami sa okreslone w polskim prawie, o ile nie uzgodniono tego inaczej. BMS i jego klienci podlegaja jurysdykcji Stalego Sadu Polubownego przy Okregowej Izbie Radcow Prawnych w Gdansku, o ile nie uzgodniono inaczej.11. Za wyjatkiem specjalnych ustalen dokonanych na pismie przez upowaznionych reprezentantow BMS, faktury wystawione przez BMS musza byc uregulowane w calosci bez zadnych roznic lub znizek w przeciagu pietnastu (15) dni od daty wystawienia faktury, przelewem na nasze konto bankowe. W przypadku nie zaplacenia faktury w ciagu wyzej wymienionego okresu, zleceniodawca zaplaci odsetki w wysokosci 1% miesieczne lub proporcjonalnie do czasu opoznienia, bez zadania lub zawiadomienia ze strony BMS, a odsetki nalicza sie od terminu powstania naleznej oplaty do dnia jej faktycznego uregulowania. BMS ma w kazdej chwili prawo zawiesic wykonywanie dalszych uslug do czasu uregulowania wszelkich nie zaplaconych faktur BMS. - CODE OF PRACTICE This Code of Practice is originally drawn up in the English and Polish languages but the ruling language is Polish.Independent serviceBaltic Marine Surveyors (BMS) objective is to provide an independent service to protect the interests of its principals. BMS is not an agent of the principal, but is nominated and is thereby given a mandate by the principal, to carry out services in conformity with industry standards. Where conflict occurs between the mandate being followed by BMS and that of third parties involved in work being performed, BMS will endeavor to assist in resolving these conflicts only to the extent that it reports all facts, events, test results and figures to the parties involved. BMS can not be accountable for any differences arising out of conflicting interpretation of its mandate.Role of the PrincipalThe principal is defined as the client who appoints BMS for contract services. BMS reserves the right to hold the principal ultimately responsible for payment of invoices in the event that third party clients fail to do so. It is thus the responsibility of the principal to ensure that third parties, who have been designated to share costs, confirm respectively their acceptance of applicable fees before invoicing by BMS.All nominations are accepted subject to our Terms, Conditions and Limitations dated June 1, 2003. For services rendered agreed rates or rates resulted from a written contract signed between BMS and the client will apply. Duties of PrincipalThe principal will ensure that:- the relevant instructions are given to BMS in due time to enable the required services to be performed effectively,- all necessary access for BMS representatives to the goods, premises, installations and transport is rendered, - all necessary measures are taken for safety and security of the working conditions, site and installations during performance of the services,- all necessary steps are taken to eliminate or remedy any obstruction to or interruptions in the performance of the services.Multi-client invoicingBMS agrees to invoice a number of individual clients for a single intervention strictly on the understanding that each individual client accepts in full their respective obligations to settle invoices relating to their pro-rated share (plus administrative costs).Invoicing instructions cannot be subject to any changes after the work has commenced, unless otherwise agreed.Standard surveysThe standard surveys are representative for services routinely carried out for specified groups of products. More detailed technical specifications of such standard surveys can be obtained from the BMS Main Office in Gdynia. In any Contract Services Agreement, the client's specifications and requirements may be included to properly address specific client needs and operating practices in local ports and terminals.Contract services agreementsBMS welcomes the opportunity to provide enhanced services to its clientele through the use of Contract Services Agreements. While these contracts never influence the independence of BMS they do enable the company to properly recognize volume business and long-term service requirements, through the use of modified case-specific tariffs, more detailed service scope, and the recognition of client's specific needs. Credit policyBMS rates are based on the settlement of all payments due within 15 days of date of invoice.BMS reserves the right to charge official interest per month on all outstanding accounts. Individual invoices, if queried, should under no circumstances cause any delay in payment of other payments due.Witnessed AnalysisWitnessing services are available at extra costs. When analysis is witnessed by BMS, the testing is carried-out with equipment belonging to and operated by others. While BMS verifies that tests were performed, BMS cannot assume responsibility for the calibration, operation and maintenance of third party laboratory equipment.Submitted AnalysisIn case of submitted analysis, the analysis results are reported to BMS. BMS only transmits the submitted information as received from the independent laboratory. Testing is neither witnessed nor verified by BMS and BMS assumes no responsibility for same.GENERAL TERMS, CONDITIONS AND LIMITATIONSThese Terms, conditions and limitations shall govern all work and services performed by BMS for its customers, including any additional works performed by BMS, in connection with a job as per June 1, 2003.1. BMS performs its services for one principal only, unless notified otherwise in writing. The instructions of the first principal are decisive for all principals.2. BMS shall only be liable for non-compliance or miscompliance with instructions of the principal only if it is proven that the same was caused by wilful misconduct or gross negligence of BMS employees.3. BMS shall not be liable in respect of any services or goods - including laboratory facilities - for the use of which BMS has to engage third parties. BMS also bear no responsibility for analysis results produced in laboratories operated by such third parties, whether or not BMS has witnessed the analysis. 4. Further and without prejudice to the general applicability of the foregoing conditions, any liability on the part of BMS, its employees or sub-contractors shall not exceed a sum equal to five (5) times the charges payable for the services concerned.This remedy shall be the sole and exclusive remedy against BMS, its employees or sub-contractors arising out of its work. In no event shall BMS, its employees or subcontractors be responsible for any delay in the performance of our services, consequential or special damages of any kind and whatsoever and however caused.5. BMS shall in no circumstances be liable for any loss or damage caused by, or resulting from, any error or omission in a report or certificate issued by the Company or arising out of, or related to, the performance or nonperformance by the Company of work in connection with such report or certificate except in so far as such loss or damage is attributable solely to the negligence of the Company, its officers, servants, agents or subcontractors.Written notice of claim against the Company must be made within 45 days from the date of this report/certificate. Failure to give such notice shall constitute an absolute bar to any claim. Notices of claim should be addressed to Baltic Marine Surveyors. 6. BMS's clients are only considered to be the entities who are billed for our services. All reports will be in writing and addressed to clients and are for their own use and benefit relate exclusively to the work referred to in the report, and may not be used or relied upon by any other person, or copies distributed to any other person, without BMS's prior written consent. Acquisition of a BMS report by a person or entity other than our client does not entitle such person or entity rely on or otherwise use its contents. The principal shall indemnify us and hold us harmless from all claims of whatever nature which may be made against BMS, its employees or sub-contractors by third parties in connection with services rendered or to be rendered by BMS.7. No amendments to or deviations from the above Terms, Conditions and Limitations set forth herein shall bind BMS unless in writing and signed by a duly authorized officer of BMS.8. All reports issued by BMS are solely for the use of BMS's clients and supply only information specifically requested by them. There may be other relevant information, which has not been reported by BMS. BMS will not be responsible to third parties for the contents of any report or for any omission therefrom.9. The original written report carrying the signature of the authorized representative of BMS serves as the one and only true original and proof the content of any information provided by BMS to its clients by any means whatsoever, including electronic means. BMS shall be prepared for a maximum of 2 years from the date of the report to provide clients with an (authenticated) hardcopy of the original. Any report, certificate or statement submitted to the client other than in written form shall be deemed to have been issued at the explicit request and for the risk of the client. BMS shall not be responsible and/or liable for any deviation between such report and its written original.10. These conditions are originally drawn up in English and Polish language but the ruling language is Polish.BMS relations with the principal shall be governed by Polish law unless other law has been chosen by mutual consent. BMS and its clients hereby submit to the jurisdiction of the Permanent Court of Conciliation at the Regional Legal Advisors Chamber in Gdansk unless other jurisdiction bas been chosen by mutual consent.11. Except under special arrangements approved in writing by an authorized representative of BMS, invoices issued by BMS must be paid in full without any set off or discount within fifteen (15) days from the date of invoice by remittance to our bank. In the event payment is not made within this time, interest at the rate of one percent per month or part thereof shall become payable by the principal without any demand or notice being required, such interest to accrue from the due date of payment until the day of actual payment. At all times BMS will have the right to suspend the performance of further services for as long as any of BMS's invoices remain unpaid.
