Employee Eurocargo Survey is a privately owned, limited liability, independent inspection company being a member of the ECS Eurocargo international group of companies which operates a total transport service world wide, but especially via Polish and German ports. The company was established in 1993 at the time of changing political and economic climate in Poland. Since this time it has been dealing successfully, first in the port of Szczecin then in all the leading Polish ports, developing and expanding its services and establishing branch at the port of Swinoujscie and liaison office at the port of Gdynia. The head office is situated in Szczecin. From the beginning a characteristic of the company was the particular attention paid to the professionalism of its staff. Also important is a cost efficiency. Standard Trading Condition s Eurocargo Survey offers its clients a range of services, from vessel's surveys with the assistance of professional surveyors to cargo inspections and transshipment supervision of all the types of cargoes. The scope of the activity contains also assessment of the less value of a cargo and damage surveys of various goods, warehouse inspections, risk assessment and loss prevention surveys. Surveys are performed for a wide range of Principals either for Forwarding or Shipping Agents and P&I Correspondents or Insurance Brokers. Such a diversification of activity types is a result of necessary adaptation to different demands of clients. The company also offers its clients the supply of qualified personnel in main, inland industrial sites in Poland. Inspections can be also carried out abroad by our delegated specialists or our reliable correspondents. Highly qualified staff is at Client disposal round-the-clock and "round-the-week" . Every year we perform over 500 various inspections. The reports are issued either in the Polish or English language and are always followed by rich photo documentation evidencing inspection findings. To speed up documents circulation both preliminary and final reports can be submitted to Principals via e-mail in form of ready-to print documents. Our offices have an extensive technical and nautical library and modern , comprehensive computerized documentation systems. We apply several own original computer programs (i.e. for calculation of loaded quantity basing on draught survey measurements, for bunkers surveys ) what enables us, if necessary, to issue adequate final documents on board the vessels or in the place of the inspection. Most importantly, our documentation is designed to be straight forward and easily understood. EUROCARGO SURVEY Sp Standard Trading Conditions Warunki wsp pracy 1 . Definitions 1 . Definicje In this Agreement the following expressions shall have the following meanings: 1.1 . Client means company mentioned in Offer Acceptance 1.2. Eurocargo Survey means Eurocargo Survey Sp ka. z o.o. having its registered office at Szczecin 1.3 . Offer Acceptance means the confirmation of the acceptance of the order presented by the Client, handed over to him or send by fax from Eurocargo Survey s office, in the form of this document and on the basis of hereby given conditions. 1.4 . Services means services mentioned in Offer Acceptance 1.41 . Services will be carried out in conformity with recognized industry routines and procedures following accepted safety standards and if no other particular principles based on specific client s requirements will be agreed when appropriate according to Polish or ISO Standards. 1.4.2 . If samples are taken then one representative sample shall be deposited for a period of 3 months.. 1.4.3 . In case of submitted analysis, Eurocargo Survey activity is limited to the choice of laboratory and to transmitting the assays as received from the independent laboratory. Testing is neither witnessed nor verified by Eurocargo Survey which assumes no responsibility for same 1.4.4 .Upon survey completion Eurocargo Survey shall issue a report in the form typical for performed survey activity, drawn up in Polish or English language version, triplicate, with a photographic documentation attached to two copies of the mentioned document. Us ugi wykonane zostan zgodnie z przyj tymi w przemy le zwyczajami i procedurami z przestrzeganiem og lnych zasad bezpiecze stwa i je eli nie zostan ustalone inne szczeg owe zasady wynikaj ce ze specyficznych potrzeb lub wymaga Klienta gdzie niezb dne zgodnie z Polskimi Normami lub normami ISO 1.4.2. Je eli pobrane zostan pr by jedna ze sporz dzonych rednich pr b pozostanie w depozycie przez okres trzech (3) miesi cy 1.4.3 W przypadku wykonywania analizy w niezale nym laboratorium, rola Eurocargo Survey ogranicza si do wyboru laboratorium i przekazania wynik w bada do zleceniodawcy. Badania nie s nadzorowane a przekazane wyniki bada nie s weryfikowane przez Eurocargo Survey, kt ra nie ponosi za nie odpowiedzialno ci. 1.4.4 . Po zako czeniu kontroli Eurocargo Survey wystawia raport w formie typowej dla wykonanej czynno ci kontrolnej w j zyku polskim lub angielskim w trzech egzemplarzach z dokumentacj fotograficzn do czon do dwu egzemplarzy. Services will be carried out in compliance with recognized industry routines and procedures following accepted safety standards and if no other particular principles based on a specific client s requirements are agreed, when appropriate, according to Polish or ISO Standards. 1.4.2 . If samples are taken then one representative sample shall be deposited for a period of 3 months. 1.4.3 . When an analysis is submitted, Eurocargo Survey s activity is limited to the choice of laboratory and to transmitting the assays as received from the independent laboratory. General provisions 2 . Postanowienia og lne 2.1 . The subject of this Agreement is performance by Eurocargo Survey of the services mentioned in Offer Acceptance 2.1 . Odpowiedzialno i R kojmia 3.1 .Eurocargo Survey undertakes to perform its contractual obligations most conscientiously to the best of its knowledge, ability and belief within a reasonable time. 3.2 .If events or circumstances come to the attention of the Eurocargo Survey, which in its opinion make it wholly or in part impossible for the Eurocargo Survey to fulfil its duties it shall take reasonable steps to inform the Client of such events or circumstances and seek further instructions. 3.1 . Eurocargo Survey zobowi zuje si wywi za ze swoich zobowi za kontraktowych sumiennie, wed ug swojej najlepszej wiedzy, wiary i umiej tno ci w rozs dnym terminie. 3.2 . Je eli po rozwa eniu okoliczno ci lub zaistnia ych warunk w Eurocargo Survey dojdzie do wniosku, e uniemo liwiaj one ca kowicie lub cz ciowo wywi zanie si ze zobowi za w wczas podj te zostan dzia ania by poinformowa klienta o tych uwarunkowaniach i okoliczno ciach i otrzyma kolejne instrukcje. 3.1 . Eurocargo Survey undertakes to perform its contractual obligations most conscientiously to the best of its knowledge, ability and belief within a reasonable time. 3.2 . If events or circumstances come to the attention of Eurocargo Survey, which in its opinion make it wholly or in part impossible for the Eurocargo Survey to fulfil its duties it shall take reasonable steps to inform the Client of such events or circumstances and seek further instructions. 3.1 . Je eli po rozwa eniu okoliczno ci lub zaistnia ych warunk w Eurocargo Survey dojdzie do wniosku, e uniemo liwiaj one ca kowicie lub cz ciowo wywi zanie si ze zobowi za w wczas podj te zostan dzia ania by poinformowa klienta o tych uwarunkowaniach i okoliczno ciach i otrzyma kolejne instrukcje. 3.3 . In the absence of any Client s notice after thirty (30) days after the service completion the contract as performed by Eurocargo Survey will be deemed to have been approved by the Client. 3.4 .Notice of any objections, complaints or queries must be given in written form immediately, not later however then thirty (30) days following the date of acknowledgement by Client of the facts causing Client s claim and not later then six (6) months following the date of receiving by the Client the report/certificate in respect of the work/ the services from which the claim arises. Any claim not made and notified as aforesaid shall be deemed to be waived and absolutely barred 3.5 . In any event Eurocargo Survey, its employees or its sub-contractors shall be discharged from all liability unless suit is brought within six (6) months after the date of the completion of the services as referred to in the foregoing sentence. 3.6 . Eurocargo Survey shall only be liable for non- or mis-compliance with instructions of the Principal if it is proven that the same was caused by wilful misconduct or gross negligence of Eurocargo Survey employees.. 3.3 . Wszelkie zastrze enia, roszczenia i zapytania musz by sporz dzone na pi mie niezw ocznie, nie p niej jednak ni w terminie trzydziestu (30) dni od daty powzi cia przez Klienta wiadomo ci o powstaniu roszczenia i nie p niej ni sze (6) miesi cy od daty otrzymania raportu/certyfikatu zwi zanego z pracami lub us ugami, kt rych dotyczy roszczenie. Ka de roszczenie nie sporz dzone i zg oszone w spos b i w terminie jak powy ej b dzie uznane za niewa ne i zdecydowanie odrzucone. 35 . W ka dym przypadku Eurocargo Survey, jego pracownicy lub podwykonawcy zwolnieni s od jakiejkolwiek odpowiedzialno ci, o ile pozew nie zostanie z o ony w terminie do sze ciu (6) miesi cy od daty zako czenia us ug, o kt rych by a mowa powy ej. 3.6 . Eurocargo Survey, b dzie odpowiedzialna za niezastosowanie si do instrukcji zleceniodawcy lub jej niewype nienie, je eli zostanie udowodnione, e by o to wiadome zaniedbanie pracownik w Eurocargo Survey. 3.3 . If the Client does not give a notice of any objections within thirty (30) days from the completion of the service, the contract as performed by Eurocargo Survey will be deemed to have been approved by the Client. 3.4 . Notice of any objections, complaints or queries must be given in written form immediately, though not later than thirty (30) days following the date of acknowledgement by the Client of the facts giving rise to the Client s claim and not later then six (6) months following the date when the Client received the report/certificate in respect of the work/ services from which the claim arises. Any claim not made and notified in the aforesaid manner shall be deemed to be invalid and absolutely rejected . 3.5 . In any event Eurocargo Survey, its employees or its sub-contractors shall be discharged from all liability unless suit is brought within six (6) months after the date of the completion of the services as referred to in the foregoing sentence. 3.6 . Eurocargo Survey shall only be liable for non- or mis-compliance with the instructions of the Principal if it is proven that the same was caused by wilful misconduct or gross negligence of Eurocargo Survey employees. 3.3 . W ka dym przypadku Eurocargo Survey, jego pracownicy lub podwykonawcy zwolnieni s od jakiejkolwiek odpowiedzialno ci, o ile pozew nie zostanie z o ony w terminie do sze ciu (6) miesi cy od daty zako czenia us ug, o kt rych by a mowa powy ej. 3.6 . Eurocargo Survey, b dzie odpowiedzialna za niezastosowanie si do instrukcji zleceniodawcy lub jej niewype nienie, je eli zostanie udowodnione, e by o to wiadome zaniedbanie pracownik w Eurocargo Survey. 3.7 . Any liability on the part of Eurocargo Survey, its employees or sub-contractors shall be limited to a sum equal to five (5) times the charges payable for the services concerned but shall not exceed a sum equal to 50.000 USD. This remedy shall be the sole and exclusive remedy against Eurocargo Survey, its employees or sub-contractors arising out of its work. 3.7 .Wszelka odpowiedzialno ze strony Eurocargo Survey, jego pracownik w lub podwykonawc w, ograniczona jest do sumy r wnej pi ciokrotnej (5) wysoko ci op aty za dane us ugi nie mo e jednak przekracza sumy. 50.000 USD (pi dziesi t tysi cy USD).To odszkodowanie b dzie jedynym i wy cznym odszkodowaniem, wynikaj cym z pracy Eurocargo Survey, jego pracownik w lub podwykonawc w 3.7 .
