Moller - Maersk Group acquires UK North Sea oil and gas interests A.P. M ller - M rsk A/S s subsidiary, M rsk Olie og Gas AS ( MOG ), and a wholly owned affiliate of Kerr-McGee Corporation, which is listed on the New York Stock Exchange, have entered into an agreement under which MOG will acquire the majority of Kerr-McGee s UK oil and gas interests, including the UK North Sea activities operated by Kerr-McGee affiliates. Moller - Maersk Group. Mrs Kirsten Bendtsen, accompanied by her husband, Bendt Bendtsen, Minister of Economic and Business Affairs, honoured A.P. Moller Maersk and the Yard by naming the newbuilding GRETE M RSK. GRETE M RSK is the second ship in a new series of updated container ships which are produced with the purpose of securing an extensive automation when operating the vessel. The choice of materials for the vessel as well as the interior is of highest quality based on Danish design a characteristic for the container ships built at Odense Steel Shipyard. GRETE M RSK is yet another environmentally friendly vessel from the Yard. With its 12-cylinder diesel engine from HSD-W rtsil Sulzer, which develops 93,000 BHP, GRETE M RSK will after delivery enter Maersk Sealand s worldwide liner service and thereby together with the other vessels contribute to a global, competitive and flexible quality transport for the company s customers. GRETE M RSK is registered in Copenhagen and will be commanded by Captain Henrik Larsen with Karl Johan Frigaard as Chief Engineer. M ller - M rsk A/S secures 95.6 % of the shares in the capital of Royal P&O Nedlloyd N.V. With reference to the public announcements on 11 May 2005, 10 June 2005, 29 June 2005 and 30 July 2005 regarding the public offer by A.P. M ller - M rsk A/S for all ordinary shares of Royal P&O Nedlloyd N.V., A. P. M ller - M rsk A/S announces, that per the expiration of the acceptance period on 4 August 2005 at 15:00 hours, 51.5 % of all outstanding ordinary shares of Royal P&O Nedlloyd N.V. have been tendered. To this can be added 19.1% of the share capital in Royal P&O Nedlloyd N.V. currently held by A.P. M ller - M rsk A/S, and the aggregate 25% of the share capital, held by Danske Bank and Nordea Bank Danmark, for which A.P. M ller - M rsk A/S today has exercised its purchase option. In total, these shares represent 95.6 % of the total share capital of Royal P&O Nedlloyd N.V. A.P. M ller - M rsk A/S will within five business days of the Copenhagen Stock Exchange make a public announcement regarding acceptance of the offer. Damgaard is appointed Vice President, M rsk Olie og Gas As per 1 July 2005 Managing Director, Maersk Oil Kazakhstan GmbH, Anders P. Damgaard, (48), Kazakhstan, is appointed Vice President in M rsk Olie og Gas AS. In 1981 Anders P. Damgaard started in M rsk Olie og Gas AS in a trainee position as a Well Site Engineer in the Petroleum Engineering Department and continued afterwards in 1982 as Petroleum Engineer. After an period with Maersk Energy, Houston from 1990 till 1992 he returned to the Drilling Department in Copenhagen and was at the same occasion appointed Senior Drilling Engineer. Anders P. Damgaard was in 1998 transferred to the Petroleum Engineering department and took over responsibility for the Gorm field in the North Sea. When he was stationed with Maersk Oil Qatar AS in 2000 he was at the same time appointed Manager of Petroleum Engineering Department. Since 1 April 2005 Anders P. Norfolkline and Wayzata Investment Partners, on behalf of the shareholders of Norse Merchant Group Limited, have signed a Letter of Intent and the parties expect to reach a definitive agreement on the purchase in due course subject to, inter alia, due diligence and necessary third party and governmental consents including antitrust approvals. Should the deal be completed successfully, the proposed acquisition of Norse Merchan t Ferries will clearly strengthen Norfolklines brand name and create a unique opportunity for further development in the European Ro-Ro Market. Both companies have ongoing new building programs and if the parties enter into a final agreement, the combined company will serve its customers with the youngest, fastest and most reliable fleet in the market. Announcing the news, Managing Director of Norfolkline, Thomas Woldbye, stated that: "Norse Merchant represent a strategic opportunity for Norfolkline to expand our core business in a complementary manner within a market we know well and where our trailer and logistics business is already very active. It will give us flexibility and add further value to our customers. We are looking very much forward to combining the forces of two strong companies. The employees are important to both Norfolkline and Norse Merchant and the aim of this proposed acquisition is to build up towards future growth. Norfolkline i s committed to be first class to its customers and employees as well as to its shareholders." The parties have agreed not to disclose transaction details including price. M ller - M rsk A/S hereby announces that it has entered into an agreement with an investor to purchase further 1,963,979 shares in Royal P&O Nedlloyd NV at a price equal to the offer price of EUR 57 minus a discount due to the fact that the purchase occurs prior to the expected completion of the offer. M ller - M rsk A/S agrees to purchase a 5.0 per cent interest in Royal P&O Nedlloyd NV In continuation of the public announcements on 11 May 2005, 10 June 2005 and 16 June 2005 regarding the public offer by A.P. M ller - M rsk A/S for all ordinary shares in the capital of Royal P&O Nedlloyd NV, A.P. M ller - M rsk A/S hereby announces that it has entered into an agreement to purchase further 2,000,000 shares in Royal P&O Nedlloyd NV at a price equal to the offer price of EUR 57 minus a discount due to the fact that the purchase occurs prior to the expected completion of the offer provided.
