The trading statement for the year ending 31 December 2000 is issued today prior to the Group's preliminary results announcement, which is scheduled for 22 February 2001. HIGHLIGHTS Trading has been strong across all the Group's principal businesses. The key factors underpinning this performance are as follows: Group turnover for the year ending 31 December 2000 is expected to increase by at least 8% as a result of strong throughput at the UK ports and substantial property sales. Underlying pre-tax profit for the year to 31 December 2000 is expected to be at the upper end of current market expectations. In addition to the underlying results, the Group's strategy of disposing of non-core assets has continued and profits from the sale of the Red Funnel Group and from the sale of investment properties are expected to exceed 12 million. PORTS AND TRANSPORT - TOTAL Turnover from the Group's ports and transport activities is expected to show an increase of at least 7%, leading to a similar rise in operating profit. Ports and Transport - Europe Business at the UK ports has continued to develop well, benefiting from the organisational changes put in place last year, the actions of the new management team and the investment programme of recent years. Growth has been experienced in unit-load traffic, including roll-on/roll-off, containers and vehicle imports/exports. Tonnages of oil have also increased, together with imports of coal and forest products and exports of agribulks. Several new developments involving long-term agreements with quality customers have been announced during the year. These are in line with the Group's strategy of growing existing business and developing new business through rigorously targeted investment. Owing to the long lead times in these developments becoming operational, they will have only a modest impact on this year's results but they are expected to lead to an increase in the growth rate for the Group's UK ports in 2001. In October, the Group submitted its formal application to the Department of the Environment, Transport and the Regions (DETR) to develop Dibden Terminal at Southampton. The development will be demand-led and secured under long-term customer contracts. Dibden Terminal will eventually offer six deep-water berths, fully integrated road and rail interchanges, facilities for storage and other ancillary services. The Group expects to know the outcome of its application to the DETR during 2002. The terminal is being developed in order to meet the continuing substantial growth in deep-sea container traffic and the first berths are expected to become operational towards the end of 2004. In line with the Group's strategy of growing its core ports and transport business by acquiring related businesses which will develop and extend the value-added services its ports can offer customers, Northern Cargo Services Ltd (NCS) was acquired in September for a total consideration of 1.6 million. NCS is the largest general stevedoring company at the Port of Hull and is the sole operator of the Group's new Finland Terminal. In October, the Group acquired the Berkeley group for a consideration of 9.5 million. The two principal companies within the Berkeley group provide technical facilities and labour for the processing of vehicles and act as one of the two main general stevedores at the Port of Southampton, handling mainly roll-on/roll-off cargoes. Both NCS and the Berkeley group have performed in line with the Group's expectations in the periods since acquisition. Ports and Transport - USA - AMPORTS Turnover and operating profit will be substantially ahead of last year. The Seaport division has won three new vehicle-processing accounts in the second half of the year which will together add an additional 90,000 units per annum to vehicle volumes once these accounts become fully on-stream during the course of 2001. In the second half of the year, the Aviation division also added new business. The division secured a five-year management contract at Teterboro Airport, New Jersey, the busiest corporate aviation facility in the United States. In addition, an aviation refuelling facility was purchased at Gulfport-Biloxi, Mississippi, for a consideration of 4.4 million, increasing the number of such facilities owned by the Group to five. This facility has performed in line with the Group's expectations in the period since it was acquired. ASSOCIATES Overall, the Group's associates are expected to produce an operating profit ahead of last year, with Southampton Container Terminals handling over one million container units during the year for the first time ever. For the full year this is expected to represent at least 15% growth in the throughput of container units compared to the previous year. PROPERTY INVESTMENT AND DEVELOPMENT The Group's policy of selling mature, non-operational port-located property and exploiting the potential of the property portfolio continues. As a result of sales made in 1999 and 2000, operating profit from property investment rentals is expected to decline. However, operating profit from property development is expected to be above the 1999 level, reflecting substantial property sales during the year. The ongoing sale of investment properties will continue to reduce the Group's income from investment property rentals. Furthermore, although development land sales will continue to produce profits, this profit stream is likely to start to decline in 2001. This decline in investment and development property profits should, however, be compensated for by the increased growth generated by the capital investment strategy within the Group's core ports and transport business. DISPOSAL OF NON-CORE ASSETS Since 1 January 2000, the Group has sold 154 million of non-core assets. Property In October, the Group announced the creation of The Cardiff Bay Partnership ("The Partnership"), a limited-liability partnership with Norwich Union. Under the terms of the agreement, The Partnership, in which the Group has a 45% stake, acquired from the Group a portfolio of properties in Cardiff Bay for 53 million. This represents a continuation of the Group's strategy of realising value through the disposal of non-operational port-located property and it is anticipated that a further property will be sold by the Group to the Partnership in the near future. Red Funnel ABPH recently announced the sale of the Red Funnel Group, the Southampton-based ferry and towage business, for a cash consideration of 71 million. The sale of the Red Funnel Group is part of ABPH's strategy of disposing of non-core assets, leaving the Group to focus on operating ports and value-added businesses within those ports. SHARE REPURCHASES Following the sale of the Red Funnel Group, 70 million will, in due course, be returned to shareholders by means of a share repurchase exercise. The Group's previous share repurchase programme was completed in October 2000 and resulted in 150 million being returned to shareholders. Morgan International Capital Corporation for a cash consideration of 71 million. Red Funnel Group comprises a variety of transport-related businesses, including ferries operating between Southampton and the Isle of Wight (Red Funnel Ferries), towage services (Red Funnel Towage), road distribution (Vectis Transport) and catering services (Masthead Services). For the year ended 31 December 1999, Red Funnel Group made a profit before interest, taxation and depreciation of 7.5 million on turnover of 24.5 million. As at 31 December 1999, Red Funnel Group had net assets, excluding ABPH intra-group debt, of 33 million. The sale price of 71 million represents an historic exit multiple of 9.5 times profit before interest, taxation and depreciation. The sale of Red Funnel Group brings the total proceeds from disposals of non-core assets since 1 January 2000 to 148 million, and is a continuation of ABPH's strategy of disposing of non-core assets, leaving the Group to focus on operating ports and value-added businesses within those ports. ABPH announced its intention to sell Red Funnel Group on 14 June 2000, and will in due course return 70 million to shareholders by means of a share repurchase exercise. The Group's previous share repurchase programme was completed in October 2000 and resulted in 150 million being returned to shareholders. As previously indicated, ABPH intends to announce a pre-close period trading update on 13 December 2000. The first of these statements, in respect of the six months ending 30 June 2000, is issued today ahead of the Group s interim results announcement, which is scheduled for 7 September 2000. HIGHLIGHTS Trading has been strong across all the Group s principal businesses. The key factors underpinning this performance are as follows: Pre-tax profit for the half-year to 30 June 2000 is expected to be ahead of current market expectations and the Group s underlying earnings per share is expected to be at least 18% ahead of the comparable period of the previous year. Group turnover is expected to increase by at least 12% as a result of strong throughput at the Group s UK ports and substantial property sales. Increased throughput at the Group s UK ports has been driven by increases in both dry and liquid bulks, together with higher volumes of container and roll-on/roll-off traffic. The Group s strategy of disposing of non-core assets has continued and operating profit from property development will be significantly higher than the corresponding period last year. PORTS AND TRANSPORT Turnover from the Group s main ports and transport activities is expected to increase by at least 7%, leading to a rise of at least 6% in operating profit. Business at the UK ports has developed well, benefiting from the organisational changes put in place last year, the actions of the new management team, and the investment programme of recent years. The Group s UK ports have experienced an increase in conventional traffic. All liquid bulks, including oil, have increased tonnages. Higher volumes of dry bulks are also being handled, driven by imports of coal and iron ore and exports of agribulks. Demand in unit load traffic also remains strong. Several new developments involving long-term agreements with quality customers have also been announced during the first six months. This is in line with the Group s strategy of growing existing business and developing new business through rigorously targeted investment. Due to the long lead times in these agreements becoming operational they will not be reflected in the first half-year results. Grimsby & Immingham Grimsby & Immingham is on track to produce a record level of throughput for the fifteenth successive year. The Humber International Terminal opened on time earlier this month and a five-year agreement has already been signed with Enron Coal Services Ltd to import coal through the terminal. Exxtor Shipping Services Ltd, the Group s roll-on/roll-off terminal operator at Immingham, has signed a new long-term agreement with a new customer, Lys-Line A/S, which will be effective from the beginning of August 2000. Hull & Goole Roll-on/roll-off trade at Hull has seen further expansion and the port has won new contracts which will generate future growth. The new Finland Terminal, which provides covered accommodation for paper, paperboard, pulp and panel products, was officially opened in May. The Group is also investing 13 million to construct a new passenger terminal at Hull for the world s largest super-cruise ferries, which will be completed in April 2001. Southampton Container throughput and vehicle-handling at Southampton have shown continued growth. In March the Group signed a ten-year agreement with P&O Cruises to construct a new cruise terminal; the agreement reaffirmed P&O s commitment to Southampton as the principal UK port of call for its vessels. It also coincided with a significant increase in capacity for P&O with the arrival of the new superliner Aurora. Southampton s position as one of the UK s leading fresh produce-handling ports was reinforced in April when the agreement with the Federation of Canary Island Producers was renewed and extended for the long term. South Wales The South Wales ports are enjoying a good first half, experiencing a recovery in iron ore, coal and steel volumes. The ports have benefited from improved facilities attracting new traffic throughout the region. Volumes handled show a significant increase compared to the corresponding period of the previous year. Shortsea Ports Volumes were also up at the Shortsea ports as they continued to win new contracts and customers, which will make a significant impact on the profitability of individual ports. The new 2.3 million Coldock Terminal for agribulks was opened in Ipswich in March and, last month, the port also gained a new container service. King s Lynn has also won two important contracts: a malting barley silo complex will be opened next month for Dalgety Arable and a fertiliser-handling facility is to be developed for a new customer. A timber-handling terminal is under construction at Ayr to handle and transport timber in a more environmentally-friendly manner. USA - AMPORTS Turnover and operating profit will be ahead of the corresponding period last year. The new management team is confident that they can continue growing the business through new accounts, contracts and stronger relationships with existing customers. The Seaport division is expected to handle over 175,000 vehicles compared to 140,000 in the corresponding period of the previous year. The Aviation division has continued to benefit from the growth in regional airports and corporate jet markets. Red Funnel ABPH announced earlier this month that, subject to receipt of a satisfactory offer, it intends to sell Red Funnel Group, the Southampton-based ferry and towage business. The sale of Red Funnel Group, which is currently being marketed, is part of ABPH s strategy of disposing of non-core assets, leaving the Group to focus on operating ports and logistics businesses within its ports. A sum equivalent to the net proceeds of the disposal will be returned to shareholders following completion of the sale. Since the acquisition of Red Funnel Group in 1989, the vehicle capacity has been expanded by 230 per cent, with the replacement of three ageing small ferries by the current fleet of three large ferries, each of which has a capacity of 140 cars and 910 passengers. In addition, Red Funnel Group owns and operates three high-speed catamarans and three modern tractor tugs. ASSOCIATES Overall, the Group s associates are expected to produce an operating profit ahead of the comparable six-month period last year. PROPERTY INVESTMENT AND DEVELOPMENT The Group s policy of selling mature, non-operational port-located sites and exploiting the potential of the property portfolio continues. As a result of sales made in 1999 and 2000, operating profit from property investment is expected to reduce by less than 30%. However, operating profit from property development is expected to contribute at least 6.0 million in the six- month period (1999: 0.7 million) reflecting substantial property sales. In particular, in April a 43-acre site at Ferry Road, Cardiff Bay, was sold for 7.95 million to Cardiff County Council for a proposed sports village. Merrill Lynch was appointed to advise on the divestment earlier this year and details of the business are being sent to interested parties. Red Funnel Group comprises a variety of transport-related businesses, including ferries operating between Southampton and the Isle of Wight (Red Funnel Ferries), towage services (Red Funnel Towage), road distribution (Vectis Transport) and catering services (Masthead Services). For the year ending 31 December 2000, Red Funnel Group is forecasting a profit before interest, taxation and depreciation of 8.5 million (1999: 7.5 million) on turnover of 26.7 million (1999: 24.5 million). It is pleasing to report that trading over the first quarter has met our expectations across all our principal businesses. In our core ports and transport business we are beginning to see the benefits of the organisational changes made last year in support of our growth strategy. Richard Adam joined the Board as Group Finance Director and James Shaw, in addition to his present role as Managing Director of Grosvenor Waterside Group, became a director of American Port Services (AMPORTS). Doug Tipton joined AMPORTS in October to oversee the development of the Seaport Division and his role was expanded to Chief Executive Officer of AMPORTS in January. Our UK ports have been re-organised into five units. We are focusing on growing our existing core business and we have set out clear investment guidelines for all of our ports. Since the year end, new business has continued to be advanced and additional contracts have been won. The development of a world-class passenger terminal at the Port of Hull will soon become a reality following the recent award of a 10 million construction contract. The terminal will accommodate the world s largest super-cruise ferries and will be completed in April 2001 in time for the arrival of the first of these vessels. At 60,600 gross tonnes the vessels will be the largest ever to visit the port. We are investing 13 million in the required river works and construction of the new passenger terminal. At the end of last year agreement was reached with Dalgety Arable to construct a 25,000-tonne capacity silo complex for receiving and storing malting barley at the Port of King s Lynn. The facility should be ready by July 2000 and will be the first malting barley silo to be built within a port. In March we signed a ten-year agreement with P&O Cruises to construct a brand-new cruise terminal at the Port of Southampton. This agreement reaffirms P&O s commitment to Southampton as the principal UK port of call for its vessels. It also coincides with a significant increase in capacity for P&O with the arrival in Southampton of the new superliner Aurora. Construction work on the new terminal, which will be built on the site of the existing Mayflower Cruise Terminal, is set to begin early this Summer. The new facilities are expected to be complete in Spring 2001. Also last month the new Coldock Terminal at the Port of Ipswich was officially opened. Built at a cost of 2.3 million, the 10,600 square metres terminal, located at the port s Cliff Quay, is a bonded store for agribulks and other commodities. Earlier this month Southampton s position as one of the UK s leading fresh produce-handling ports was reinforced when our agreement with the Federation of Canary Islands Producers was renewed and extended for the long term. Under the new contract, Southampton is to be the sole UK port for the import of around 120,000 tonnes of Canary Islands fresh produce each year and we will be enhancing the port s Canaries Terminal to increase cold storage facilities by a further 5,000 square metres. We have also just commenced operations at a major new forest-products terminal known as the Finland Terminal at the Port of Hull. This involves an agreement with three Finnish companies: UPM-Kymmene, Metsa-Serla and Myllykoski Paper to provide 58,000 square metres of covered accommodation for paper, paperboard, pulp and panel products. Also this month the ground-breaking, environmentally-friendly "TimberLink" initiative started. This is helping to reduce road traffic in Scotland by transporting logs by sea to Ayrshire from the Argyll peninsula. A timber-handling terminal is currently being constructed at the Port of Ayr where the majority of the TimberLink cargoes will be handled. Our strategy of exploiting the potential of our property portfolio has continued and at the beginning of April we announced the 8 million sale to Cardiff County Council of a 43-acre holding on the Ferry Road peninsula, Cardiff Bay for a proposed Sports Village.
